English version follows L'Ordre de Servei (US) és part integrant i essencial de les Condicions Generals de Servei (CGS). Les CGS i aquesta OS estableixen els termes i condicions del Servei d'E-Commerce (Servei o E-Commerce) proporcionat per Nominalia en favor del client. L'acceptació i/o la convalidació del formulari de comanda per part del client comporta la plena acceptació de la present OS.

DEFINICIONS

• "Servei": provisió de les solucions d'E-Commerce de Nominalia al client
• "Solucions d'E-commerce": servei de hosting ofert per Nominalia que permet al client publicar i crear una botiga online emprant el software de l'editor sense necessitat de tenir coneixements tècnics avançats
• "Editor": "ePages", propietari del software emprat per proveir les solucions d'E-Commerce.
• "Software": programa creat per l'editor i lliurat a Nominalia en forma de solució E-Commerce.

DESCRIPCIÓ DEL SERVEI D'E-COMMERCE

Nominalia ofereix al client diferents tipus de solucions d'E-Commerce que li permeten publicar i modificar una botiga online fent ús del programari proporcionat per l'editor, el lloc web es pot visitar en aquesta URL: http://www.epages.com/es El client reconeix que adquireix només una llicència no exclusiva i no transferible a tercers per poder utilitzar el software d'E-Commerce, llicència vàlida només durant el període que el client ha signat. El client amb la present declara que ha llegit i accepta formalment els termes i condicions d'ús de la llicència establerts per l'editor i que poden consultar a la següent URL: https://www.epages.com/en/terms-conditions/ El client es compromet a no perjudicar ni violar en cap cas els drets de l'editor sobre el software, en especial, el client es compromet a no copiar, modificar, adaptar, redistribuir, fraccionar, crear treballs derivats, desajustar, etc. el software d'E-Commerce d'alguna manera. El client accepta que el programari d'E-Commerce no es pot modificar. L'editor té el dret de modificar el codi del software. El client accepta que el software li sigui lliurat amb la clàusula "as is", sense cap garantia de cap tipus, però no només per tal de limitar-se, a ser adaptat per a fins específics, absència de bugs, etc. El client accepta que el software és configurable i gestionable només dins dels límits consentits i autoritzats per l'editor. El client renuncia per tant a emprendre qualsevol acció de regrés contra Nominalia per aquests factors.

RESPONSABILITATS DEL CLIENT

El client és l'únic responsable de la gestió i configuració de la seva botiga online. Aquesta gestió i configuració s'ha de fer exclusivNominaliat a través del panell de control associat a la botiga online. Nominalia no assumeix cap responsabilitat de cap tipus en aquest sentit, per exemple, en cas d'eliminació accidental de la botiga online per part del client. El client pren nota que Nominalia no gestiona la botiga ni les dades del seu compte, de manera que no assumirà cap cost derivat d'això. El client tindrà la possibilitat d'introduir alguns tipus de codis informàtics com HTLM, CSS, animacions Flash, etc. a la botiga online, dins dels límits autoritzats i compatibles amb el software d'E-commerce, sota la seva exclusiva responsabilitat i exclusivNominaliat al seu càrrec. El client és l'únic responsable de qualsevol tipus de funcionNominaliat deficient, problema, bugs, etc. de la botiga online que pot derivar o que estigui relacionat amb la introducció del codi. El client és informat que Nominalia no guardarà ni farà cap còpia de seguretat de les botigues ni de les seves dades. Així doncs, el client es compromet a fer constantment backups de les dades (productes, preus, imatges, etc.) sota la seva responsabilitat i únicNominaliat al seu càrrec i ha d'estar disposat a republicar i reconfigurar en tot moment la botiga online. El client tindrà la possibilitat de passar a una solució millor (upgrade) o més bàsica (downgrade) d'E-Commerce amb les condicions tècniques i econòmiques aplicables al moment en què aquest canvi sigui sol•licitat. S'informa al client que haurà de guardar totes les seves dades abans de decidir passar a una solució més bàsica (downgrade), moment en què aquesta opció comportarà la destrucció completa i definitiva de la botiga online. Un cop efectuat el downgrade, el client haurà de publicar i configurar de nou la botiga online. Així doncs, el client haurà de posar-se en contacte amb Nominalia amb relació a les conseqüències del upgrade i el downgrade i de les condicions anteriors al canvi de solució E-Commerce. El client és l'únic responsable de totes les conseqüències derivades d'upgrade o downgrade. El client es compromet a actuar dins del respecte de totes les formalitats legals, obligacions i declaracions, etc. sol•licitades pel que fa a l'ús i publicació de la botiga online, sota la seva responsabilitat i a càrrec seu. Nominalia no assumeix cap responsabilitat per cap d'aquestes obligacions i formalitats. El client es compromet formalment a no utilitzar el servei amb finalitats il•legals i es compromet a respectar totes les lleis i reglNominaliats aplicables. En cas que l'ús del servei causés danys a la xarxa d'Internet i/o servidors i/o plataformes i/o xarxes de Nominalia, dels seus clients o de tercers, Nominalia es reserva el dret d'interrompre el servei, fins i tot sense previ avís, i a resoldre el contracte. El client és l'únic responsable de la suspensió del servei i de la resolució del contracte i de totes les conseqüències directes i indirectes. El client accepta formalment que en aquest cas no li correspondrà reemborsNominaliat, cupó ni indemnització de cap tipus. En cas que el client no complís alguna de les clàusules de la present OS, Nominalia tindrà el dret de resoldre immediatNominaliat el contracte, sense perjudici del seu dret al pagNominaliat íntegre de l'import i al dret de Nominalia d'emprendre qualsevol acció per obtenir el ple reemborsNominaliat dels danys que podria haver patit. En cap cas Nominalia serà responsable de tota acció, dany o una altra responsabilitat derivada de o en relació amb l'ús del servei. El client s'obliga a compensar i mantindrà indemne Nominalia i seus administradors, dirigents, empleats i agents de tot tipus d'acció, dany, responsabilitat, cost i despesa (fins i tot despeses legals raonables) que puguin derivar-se o tinguin relació amb l'ús del servei.

MANTENIMENT DEL SERVEI

Nominalia farà tot el que estigui a les seves mans per mantenir operativa la plataforma tècnica que allotja la botiga online. El client és informat que Nominalia es poden dur a terme operacions de manteniment de la plataforma quan sigui necessari. El client pren nota de que aquestes operacions poden causar una interrupció momentània del funcionNominaliat de la botiga online. Nominalia farà tot el que estigui al seu abast per avisar el client amb antelació a través de la zona clients. El client és l'únic responsable de qualsevol tipus de funcionNominaliat deficient, bug, incompatibilitats o d'altres problemes de la botiga online casat per o amb relació amb el codi de programa introduït pel client a la botiga que pot ocasionar després de les operacions de manteniment. El client haurà de resoldre pel seu compte aquests errors o problemes tècnics. El client és informat que els problemes tècnics potencials en el software d'E-Commerce que podrien sortir a la llum seran plantejats per Nominalia a l'editor. El client accepta que l'editor farà tot el que estigui al seu abast per resoldre el problema en un període de temps variable que podria durar fins i tot diversos mesos, depenent de la complexitat del problema sorgit. El client renuncia per tant a emprendre qualsevol acció de regrés contra Nominalia en aquest àmbit.

DURADA

Aquesta ODS depenent de l'elecció per part del Client durant el procés de compra o fins i tot successivNominaliat des del seu Panell de Control, podrà expirar 1) amb o 2) sense renovació tàcita.

1. En cas d'expiració amb renovació tàcita i pagNominaliat amb targeta de crèdit, els honoraris que seran carregats com s'indica en l'apartat següent "Remuneració i pagNominaliats", en els terminis previstos i amb les condicions establertes en el moment de la renovació, tal com s'indica en el Panell de Control, directNominaliat des de Nominalia sobre la targeta de crèdit del Client, amb prèvia comunicació mitjançant correu electrònic. En el cas que no fos possible per Nominalia procedir a carregar l'import corresponent, el contracte no es podrà renovar tàcitNominaliat i el mateix haurà de donar-se, sense cap dubte, per vençut en el termini establert. En aquesta situació, el Client podrà renovar el servei seguint el procés que segueix sub. En cas d'expiració amb renovació tàcita i pagNominaliat amb un sistema diferent del de la targeta de crèdit, Nominalia, 20 dies abans de l'expiració procedirà, amb comunicació prèvia mitjançant correu electrònic, a efectuar la renovació i a enviar la factura al Client, la qual haurà de ser liquidada en els terminis aquí previstos. La factura i les corresponents instruccions de pagNominaliat seran enviades per correu ordinari a l'adreça emmagatzemada en els arxius en el moment de la comanda. En cas que el Client no procedeixi al pagNominaliat en els terminis previstos, Nominalia podrà interrompre en qualsevol moment la distribució del servei, excepte en el cas previst en els articles 6 de les CGS.
2. En cas d'expiració sense renovació tàcita, el Client demana a Nominalia, a través del procés online que posa a disposició Nominalia, que renovi el servei amb aquesta ODS per a futurs períodes dins dels terminis que resultin en el Panell de Control del client i amb les condicions tècniques i econòmiques vigents en el moment de la renovació del servei i seguint el procés de renovació. En cas que no es realitzi la renovació, de la manera i en els terminis indicats més amunt, quan expiri la present ODS deixarà de tenir efecte, sense necessitat de comunicació per part de Nominalia.

Nominalia no assumeix cap responsabilitat de cap tipus per qualsevol pèrdua o dany com, encara que no només, pèrdua de dades, de beneficis, de negoci, etc. que puguin derivar-se o tinguin relació amb la falta de renovació del servei en els terminis previstos pel contracte per part del client.

REMUNERACIÓ I PAGAMENTS

La remuneració pel Servei sol•licitat serà l'especificada a l'oferta. La prestació del servei s'entén consensuada des del moment del pagNominaliat de l'import del Servei de la manera que s'indica a l'oferta. El preu de la renovació serà el preu vigent aplicat per Nominalia al moment de la sol licitud del servei com consti en el Panell de Control.

Order of Service eCommerce Service

This Order of Service (OS) is an integral and essential part of the General Terms of Service (GTS). The GTS and this OS will establish the terms and conditions of service of E-commerce (or ecommerce service) provided by Nominalia in favor of the customer. The acceptance and / or validation of the order form by the customer implies full acceptance of this OS. DEFINITIONS

• "Service" means the estimate of E-commerce solutions for the customer Nominalia
• "E-commerce solutions" means the hosting service offered by Nominalia, allowing customers to publish and create an online store without advanced technical knowledges and using publishing softwares.
• "Publisher" means “ePages”, owner of the software used to provide the E-commerce services.
• "Software" means electronic programs held by the publisher and delivered by Nominalia as part of the E-commerce product package.

DESCRIPTION OF THE E-COMMERCE SERVICE

Nominalia offers its customers several types of E-commerce product packages, enable the customer to edit and publish an online store through the use of software provided by the publisher, whose website is accessible at the URL: http://www.epages.com/en The customer acknowledges to be purchasing a non-exclusive, non-transferable license to use the E-commerce software, valid only for the period undersigned by the customer. The customer hereby declares that he has read and formally agrees to comply with the terms and conditions established by the publisher of the license and available at the URL: https://www.epages.com/en/terms-conditions/ The customer will not infringe or violate the publisher rights on the software in any way, in particular, agrees not to copy, modify, adapt, distribute, divide, create derivative works, disassemble and so on the E-commerce software in any way. The customer agrees that the E-commerce software can not be modified. The publisher has the exclusive right to modify the software code. The customer agrees that the software is delivered with the clause "as is" without warranty of any kind including, but not limited to, being suitable for particular purposes, absence of bugs, etc. The customer agrees that the software is configurable and manageable only to the extent permitted and authorized by the publisher. The customer therefore expressly waive any right of recourse action against Nominalia on these issues.

CUSTOMER RESPONSIBILITY

The customer is the only responsible for the management and configuration of his/her own online store. Such management and configuration must be made exclusively through the control panel associated with the online store. Nominalia assumes no liability whatsoever in relation to this, for example in case of accidental deletion of the online store by the customer. The customer acknowledges that Nominalia does not handle the data store on behalf of the customer and therefore does not assume any related expenses. The customer will be able to enter certain types of computer code such as HTML, CSS, Flash animations, etc. on the online store, to the extent authorized and compatible with the E-commerce software, under his/her sole responsibility and exclusively at his/her own expense. The customer remains the only responsible for any online store issues, problems, bugs and so on that may arise or be connected with the inclusion of the code. The customer is informed that Nominalia will not save or back up the store(s) and related data.The customer then undertakes to carry out constant backup of the data (products, pricing, images, etc.) under its sole responsibility and sole expense and shall be prepared to republish and reconfigure the online store at any time. The customer will have the option to upgrade or downgrade the purchased E-commerce product according to technical and financial conditions applicable at the time that the upgrade or downgrade is requested. The customer is informed that he/she will have to save all data before proceeding with the downgrade as this operation will result in the complete and definitive destruction of the store. After the downgrade is complete, the customer will need to completely reconfigure and re-publish the online store. The customer must contact Nominalia in relation to the consequences of the upgrade and downgrade and conditions prior to the change in his/her E-commerce product. The customer remains the only responsible for any consequences of such upgrade or downgrade. The customer agrees to act in compliance with all legal requirements, obligations and statements, etc. requests for the use and publication of the online store under his own responsibility and expense. Nominalia assumes no liability whatsoever for any of these obligations and formalities. The customer agrees not to formally use the service for illegal purposes and commits to complying with all applicable laws and regulations. Should the use of the service harm the Internet and / or servers and / or platforms and / or the Nominalia network, its customers or third parties Nominalia reserves the right to terminate the service, even without prior notification, and terminate the contract. The customer remains sole responsible for the suspension of service and termination of the contract and all direct and indirect consequences. In no event shall Nominalia be liable for any action, damage or liability arising from or in connection with the use of the service. The customer agrees to indemnify and hold harmless Nominalia and its directors, officers, employees and agents from any kind of action, damages, liabilities, costs and expenses (including reasonable attorneys fees) that might arise or should be related to the use of the service.

MAINTENANCE OF SERVICE

Nominalia will do everything in its power to keep the technical platform that hosts the online store operating. The customer is informed that Nominalia may perform maintenance on the platform when required; the customer acknowledges that such operations can lead to temporary unavailability of the online stores. Nominalia will do everything in its power to warn the customer in advance through the customer area. The customer remains sole responsible for any issues, bugs, incompatibilities or any other problem on the online store caused by or in connection with the program code entered by the customer on the store that may occur after maintenance. The customer will have to solve these bugs or technical problems on by him/herself. The customer is informed that potential technical problems on the E-commerce software that may be discovered will be sent from Nominalia to the publisher. The customer agrees that the publisher will do its utmost to solve the problem in a variable period of time that could last several months, depending on the complexity of the arisen problem. The customer therefore waives any right of recourse action against Nominalia in this area.

DURATION

This SO depending on the choice made by the Customer during the purchase procedure or afterwards, from his control panel, will have an expiration 1) with or or 2) without tacit renewal.

1. In the case of expiration with tacit renewal and payment by credit card, the fees referred to in Art. "Fees and Payments" will be charged within the time allowed and the conditions existing at the time of renewal, as indicated in the control panel, directly from Nominalia from the customer's credit card, following email notification. If it is not possible for Nominalia to bill this charge, the agreement can not be tacitly renewed and will be considered definitively expired at its deadline. In this situation the customer can renew the service by following the procedure described hereunder, in the case of expiration with tacit renewal and payment systems other than credit card, Nominalia, 20 days before the expiration date, after communication via email, to renew and send an invoice to the customer must be paid within the period provided for therein. The invoice and payment instructions will be sent via surface mail to the address stored in the archives of the order. 2. In the event of expiration without tacit renewal, the customer may request Nominalia through the online procedure provided by Nominalia, to renew the service with this SO for additional, subsequent periods by the deadlines appearing on the Control panel of the customer and the technical and economic conditions existing at the time of renewal of the service and executing the renewal procedure. In case of non-renewal, in the manner and within the time specified above, upon expiration of this SO will cease to have any effect, without any communication by Nominalia

Nominalia assumes no liability whatsoever for any loss or damage such as, but not limited to, loss of data, profits, business, etc. that were derived from or related to the non-renewal of the service in the terms.

FEES AND PAYMENTS

The fees for provision of the requested Service is that indicated in the Offer. The performance of the service is agreed by the time of fee payment for the Service by means indicated in the offer. The renewal price will be the price charged by Nominalia upon request by the customer, as resulting from the Control panel.
