Conditions of Search Engine Indexing Service
This Service Order ("SO") is an integral and essential part of the General Conditions of Service ("GCS"). The GCS and this SO define the terms and conditions for provision of the search engine indexing package ("Indexing Service") by Nominalia.com to the Customer.
The capitalized terms used in this SO have the same meaning as that defined in the GCS.
1- Definitions
"Key word" essentially means phrases composed of at least two words, for example "eyeglasses sun." "Indexing" means each presence of one of the pages of the site being promoted in the search engines mentioned in the offer without any guarantee in terms of positioning.
2 - Description of Service
The Service consists of a package provided by Nominalia.com to the Customer. The package includes the Indexing Service on a search engine of the Customer's domain.
The Indexing Service consists of execution by Nominalia.com, acting on behalf of the Customer, of the promotion service on search engines for the Customer's website indicated in the commercial offer.
The service will be activated by Nominalia.com following compilation by the Customer of a form on which he will enter the data for the site to be indexed (e.g. URL, title, description, key word, region, category). Activation of the service and commencement of the indexing activity will be communicated by Nominalia.com to the Customer, via e-mail to the address communicated by the Customer. Following notification that the service has been activated, the Customer will no longer be able to modify the entered data. Therefore, Nominalia.com suggests that the Customer take great care when entering these data.
The service will be provided by using the most effective indexing techniques. It is comprised by three distinct options named: 100 Motori, 100 Motori Power and 400 Motori Power.
The first consists of referring the Customer's website to 100 search engines for 12 consecutive months; the second consists of referring the Customer's website to 100 search engines, including the search engine named "Google," for 12 consecutive months; the third consists of referring the customer's website to 400 search engines, including the search engine named "Google," for 12 consecutive months, with all of this being better described on the Nominalia.com website and the commercial offer. Reference is made to that offer, as it comprises an integral part of this agreement.
3 - Conditions of Service and Responsibility
For the 100 Motori, 100 Motori Power, and 400 Motori Power options, Nominalia.com will provide the Customer with the meta tag generator that will provide the meta tags to be entered under his own responsibility inside the pages on his website, as well as a restricted area that can be accessed by entering the User ID and password for access to the information and reports. No more than 25 key words may used for any of the three options.
In addition to the foregoing, with the 100 Motori Power option, Nominalia.com will offer the Customer a service for verification of indexing on the Google search engine. In addition to what is envisaged for the 100 Motori Power option, Nominalia.com will offer a tool for determining how many links point to the home page of the Customer's website ("popularity link") for the 400 Motori Power option. This is a service that analyzes the Customer's website by determining the site optimization status, a consulting service consisting of a proposal by Nominalia.com to the Customer of new and different key words, and a report on the positions obtained by the Customer's site on the search engines. The service will be provided through the restricted area on the Nominalia.com toolbar. For the 100 Motori Power and 400 Motori Power only, Nominalia.com guarantees only indexing on the search engine named Google. If it is not indexed within 120 days after the URL is sent for reasons not attributable to any violations of Google anti-spam rules, Nominalia.com promises to return the entire price paid by the Customer to acquire the service, without prejudice to the right of Nominalia.com to offer the promotion again until they are reached, and in any event until the annual expiration of the contract. Nonetheless, Nominalia.com does not guarantee any position inside the search engines.
4 - Complaints
The Customer must report any service irregularities attributable to Nominalia.com through his toolbar within 48 hours after they occur. Failure to file such a report in accordance with the foregoing terms and conditions releases Nominalia.com from all liability.
5 - Data
All data, information, and content sent by the Customer from or through the Service are and remain the exclusive property of the Customer. Consequently, the Customer assumes full liability for these data and their content.
6 - Duration
"According to the choice made by the Customer during the purchase procedure or afterwards from his toolbar, this SO may expire a) with or b) without tacit renewal.
a) If the SO expires with tacit renewal and payment by credit card, the price envisaged in the following article "Prices and Payments" will be charged directly by Nominalia.com on the Customer's credit card, by the terms envisaged and at the conditions existing at the time of renewal, as indicated on the toolbar, following communication via e-mail. If Nominalia.com cannot bill this charge, the agreement cannot be renewed tacitly and will be considered expired at the envisaged expiration date. In this situation, the Customer may renew the service by following the procedure illustrated at point b). In the case of expiration with tacit renewal and payment by means of a system other than credit card, 20 days before the expiration Nominalia.com will first send a notice via e-mail, then renew the agreement, and finally send an invoice to the Customer, who must be pay it by the terms set forth therein. The invoice and payment instructions will be sent via surface mail to the address recorded on file at the time of the order. If the Customer does not make payment by the envisaged deadline, Nominalia.com may interrupt provision of the service at any time, without prejudice to what is envisaged in Article 6 of the GCS.
b) In the case of expiration without tacit renewal, the Customer may ask Nominalia.com, through the online procedure provided by Nominalia.com, to renew the service with this SO by executing the renewal procedure for additional, subsequent periods by the deadlines indicated on the Customer's toolbar and at the technical and economic conditions in effect when the service is renewed. If the SO is not renewed in accordance with the forms and terms indicated hereinabove, this SO will legally cease to be enforceable, without it being necessary for Nominalia.com to send any additional notices."
7 - Prices and Payments
The Prices for provision of the Indexing Service are indicated in the appended offer. All Prices are to be considered exclusive of VAT.
